The Company maintains the right to modify these Terms at any time. Any changes will be posted on the Online Services, with the "Effective Date" updated at the bottom of these Terms. Such modifications become effective immediately upon posting. Your continued use of the Online Services following any changes constitutes acceptance of those modifications.

Electronic Agreement

By accessing or registering for membership on the Online Services, you provide your electronic signature and consent to enter into these Terms electronically. You may print these Terms for your records and future reference. To access, view, print, and retain these Terms, you will need:

  • A web browser
  • Internet access
  • Either a printer or storage space on your device

Use of Services

Our Online Services connect you with licensed U.S.-based healthcare providers to obtain prescription medications. By using our services, you agree to:

  • Provide accurate and complete information about your medical history
  • Use the services only for lawful purposes
  • Not share your account credentials with others
  • Not attempt to interfere with the proper functioning of the Online Services
  • Comply with all applicable local, state, and federal laws

Medical Disclaimer

The Online Services provide access to healthcare professionals, but they do not replace traditional in-person medical care. Our services are not appropriate for medical emergencies or serious health conditions requiring immediate attention. The information provided through our Online Services is for informational purposes only and should not be considered medical advice.

You acknowledge that:

  • The Online Services do not provide emergency medical services
  • You should seek immediate medical attention for any emergency
  • The prescribing healthcare provider has sole discretion to approve or deny prescription requests
  • Not all medical conditions can be treated through our Online Services

Prescription Services

Prescription services are provided by independent licensed healthcare providers who use our platform. All prescription decisions are made at the sole discretion of the healthcare provider based on medical appropriateness. The Company does not guarantee that you will receive a prescription.

Prescription Evaluations: Prescription evaluations are complimentary when clinically appropriate. The healthcare provider reserves the right to deny any prescription request that is not medically appropriate.

Payment and Pricing

Prices for medications and services are displayed on our Online Services and are subject to change. We accept various payment methods including credit cards, ACH, and Zelle. By providing payment information, you authorize us to charge your selected payment method for all applicable fees.

Promotional Offers: Promotional offers apply only to the cost of medications and are valid for a limited time. Specific terms and conditions apply to each promotional offer and will be clearly stated. Promotional offers cannot be combined unless otherwise specified.

Privacy and Data Protection

Your privacy is important to us. Our collection, use, and disclosure of your personal information are governed by our Privacy Policy. By using our Online Services, you consent to our collection and use of your information as described in the Privacy Policy.

We are committed to HIPAA compliance and protecting your protected health information (PHI) in accordance with applicable laws and regulations.

Intellectual Property

All content on the Online Services, including text, graphics, logos, images, and software, is the property of Medlocker or its licensors and is protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any content without our express written permission.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, MEDLOCKER AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Arbitration Agreement

Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Online Services shall be resolved through binding arbitration, rather than in court, except that you may assert claims in small claims court if your claims qualify.

Class Action Waiver: You agree that any arbitration or proceeding shall be limited to the dispute between you and the Company individually. To the full extent permitted by law, no arbitration or proceeding shall be joined with any other, no dispute shall be arbitrated on a class-action basis, and there is no right or authority for any dispute to be brought in a purported representative capacity.

Termination

We reserve the right to suspend or terminate your access to the Online Services at any time, with or without cause or notice. You may also terminate your account at any time by contacting us. Upon termination, your right to use the Online Services will immediately cease.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

Changes to Services

We reserve the right to modify or discontinue, temporarily or permanently, the Online Services (or any part thereof) with or without notice. You agree that we shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Online Services.

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be replaced with a valid, enforceable provision that most closely matches the intent of the original provision.
